Our mining attorneys regularly draft, review, and negotiate mining purchase and sale agreements, mining leases, joint venture and operating agreements, option agreements, exploration and development agreements, mine operating contracts, power supply contracts, smelting and refining contracts, sales and marketing agreements, and other business agreements. We also advise clients with regard to mergers and acquisitions, the sale or acquisition of mining properties and processing facilities, and general corporate issues, both domestic and foreign. Our attorneys also have extensive experience in the purchase and sale of mining companies, both private and public, including significant experience in the purchase and sale of public mining companies whose stock is traded both in Canada and in the United States.
Additionally, our attorneys assist domestic and international mining companies and lenders with both project and general corporate financing needs, including mine project financing, asset-based financing, leveraged financing, general corporate borrowing, finance restructuring, and financing due diligence. We have considerable experience representing mining companies and lenders involved in non-recourse project financing as well as institutional lenders, venture capital funds, and corporations in non-traditional financings.
Lastly, our tax attorneys have substantial experience in U.S. and international tax issues that arise in structuring transactions involving mining companies. Likewise, our litigation attorneys have broad experience in mining issues, from royalty disputes to construction contracts to the impact of bankruptcy on a mining transaction. We are experienced in assembling the types of multi-disciplinary teams in areas such as financing, tax, human resources, intellectual property, and environmental and other regulatory matters, which can be required for successful completion of a transaction.
