Shane L. Hanna
Shane Hanna is a deal lawyer with broad law firm and in-house experience, helping clients achieve business objectives while balancing risks and costs.
Mr. Hanna represents clients in all stages, from initial startup through capital raising, ongoing operations, growth and eventually exit transactions, with clients ranging from traditional brick and mortar establishments to virtual cloud-based software as a service (SaaS) providers.
Mr. Hanna’s legal practice is focused on initial company formation and structuring; Internet law; intellectual property, software and technology development, licensing, and distribution; software licensing and compliance programs; mergers, acquisitions, and divestitures; state and federal securities law compliance; corporate governance and internal investigations; and other transactional areas.
After law school, Mr. Hanna practiced several years at a boutique firm focusing on securities transactions such as private placements, public offerings, and ongoing securities disclosure and compliance. After this, he worked as general counsel and executive vice president of IKANO Communications, a venture-funded company providing Internet access and technology solutions. Mr. Hanna had responsibility for all legal matters, including equity and debt financings, structuring and documenting acquisitions of companies and technologies, and managing and resolving litigation and disputes. As a member of executive management, he was intimately involved with company operations, working with management, employees, vendors, customers, auditors, and others in areas of corporate compliance; business development and sales (including overseeing business assessment processes); intellectual property protection; human resources; Internet laws; audit requirements; investor relations; software licensing audits; PCI compliance; franchising; and other legal operational aspects.
Mr. Hanna offers a rare perspective because he has practiced at both a large and small firm and has also practice in-house from the client’s perspective, managing outside lawyers as a consumer of their legal services. Because of this, he works to offer solutions that address a client’s objectives, while balancing risk tolerance and sensitivities, and factoring in the overall budget for those objectives.
